You are entering into an agreement / contract between you (the Client) and Bipper Media, LLC. (the company) for the purposes of receiving website design, Local SEO, City Pages, or other online marketing and search engine optimization services for your business.
Local SEO, SEO Related Services
Bipper Media provides SEO and Local SEO related services to local businesses, small and medium size businesses, and large enterprise corporations. Bipper Media’s objectives with our SEO and Local SEO services is to increase our client’s presence, rankings, website traffic, and overall productivity for their business as a result of their increased presence in Google, Bing, Yahoo, & other related search engine platforms. You (the Client) agrees that Bipper Media does not own, nor have access or otherwise inside information on the actual algorithms that determine the outcome of any rankings or placement within search engines.
You (the Client) agree to not hold Bipper Media responsible for any outcome within your search engine rankings beyond the agreed upon scope of work. You (the Client) recognize that Bipper Media is acting as a consultant to you (the Client) to exercise our working knowledge of SEO and best practices that can, in most cases, influence rankings and presence in search.
City Pages SEO
Bipper Media provides City Pages for clients to help you (the Client) increase your presence and rankings in search engines within the targeted markets that you (the Client) specify to Bipper Media.
Website Design, Website Redesign, & All Website Design Related Services
If you (the Client) are engaging Bipper Media for the purposes of website design, website redesign, and any / all website design services, you are agreeing to Bipper Media’s scope of work and terms of service agreed up on between you (the Client) and Bipper Media. Each website design, website redesign, and any all services relating to website design are agreed up, discussed, and adhered to on a case by case basis depending on the exact needs of the client and your business. The terms and payments of the website design, website redesign, and all website design services are discussed and agreed upon prior to you (the Client) engaging Bipper Media for website design services.
The following is an overview of a typical website design, website redesign project, but IS NOT necessarily exactly the process that you (the Client) may experience based on your unique situation and needs at the time of engaging Bipper Media for their website design services. Bipper Media will schedule an initial design consultation with you, the Client, where we’ll solidify the website design goals, objectives, and aesthetics. Once the initial consultation is complete, Bipper Media will build out what we call “Version 1.0” of your new website and provide you with a link to review the design. Here you’ll be able to provide feedback and design edit requests.
Based on the feedback and edit requests, Bipper Media will implement those changes and provide you with a link to what we call “Version 2.0” of your new website design. At this point, you – the client – can request up to 2 additional rounds of edits and change requests to Version 2.0 of your website. Each additional edit request behind the 2 allocated for “Version 2.0” will result in a $25 fee per change request. Upon the approval to “Version 2.0” of your website, Bipper Media will provide you with a Consent To Go Live form, which you will agree to and submit. And once Bipper Media receives the Consent To Go Live form submission, we will then bring your new website live.
You agree, for your (the Client’s) website design, website redesign, and any and all website design services, that the example above may not apply specifically to your (the Client’s) scope of work based on your unique needs for your business website.
Website payment and terms:
Bipper Media takes payments for website design, website redesign, and all website design services based on the unique project and scope of work for you (the Client’s) business needs. Some website design, website redesign, and all website design services may be paid up front in full, whereas other scopes of work for website design, website redesign, and all website design services may be paid in increments such as “half up front / half paid upon the new website design, website redesign, and all website design services are completed”.
The exact payment terms will be discussed and agreed upon prior to the acceptance of these terms and services stated herein. Upon accepting these terms and services, you are agreeing to pay Bipper Media the agreed upon amount for your website design, website redesign, and all website design services.
Contract Lengths
Bipper Media provides various terms and contract lengths, depending on the exact service a client signs up for. Annual options exist for items such as SEO and Local SEO, and the annual options may include an incentive (ex: 2 months free) as an option for encouraging the 1 year / annual agreement. For any annual agreements / engagements, the contract is for a 1 year period which will renew after the 1 year / 12 month period. For other non-annual options, there are no long term contracts.
This means you can cancel at anytime by providing at least 30 days prior notice. Upon receiving your cancellation notice, Bipper Media will cease all optimization efforts on your campaign and will remove your business from all of our partner publisher sites. Upon cancelling Bipper Media will no longer access any of your web properties to include your Google My Business listing and your website.
Inactive Web Projects
Website projects have a typical 12-week life span from beginning to end. Some projects may have expedited timeframe or extended time frames based upon the size of the project. Clients are expected to stay active with their projects by staying in contact with the developer by answering all correspondence and providing requested assets, content, login credentials, and any other items needed to complete the project in the designated time frame.
Bipper Media developers and account executives will make every effort to remind clients who the content and items needed. However, failure to remain in contact or provide requested content for more than 3 months will be moved to an “Inactive Status” and Bipper Media will consider the project complete and contract fulfilled. To move a project out of “Inactive Status” and back to active status a new scope of work will be required to be signed which may include but is not limited to an hourly rate of $80/hr for time to finish your project and in some cases, a new deposit or cost may be required to move the project back to active status.
Payment / Terms
You (the Client) agree to make payment to Bipper Media via a credit card, and you also agree to save your credit card information upon making your initial setup fee payment. Upon signing up and selecting your products or services that Bipper Media will be rendering, Bipper Media will either take your credit card information over the phone and process your applicable payment, or you (the Client) will receive an invoice from Bipper Media via email that you can then proceed to process with your credit card. You (the Client) agree to save your card information on file via Bipper Media’s payment provider, which is Square, Inc.
You agree that many of Bipper Media’s services are subscription based services and payments will be taken at regular intervals for the services provided.
For monthly retainer based services, the payments will be automatically charged to the credit card on file every 30 days.
For annual subscription based services and options, your payments will be automatically charged via your card number on file on the same day every 12 months.
Bipper Media uses Square, Inc. as the payment processor for all payments received from clients. In the cases where Bipper Media send you (the Client) an invoice: You (the Client) will receive an invoice via email, and upon making the initial setup fee payment, you (the Client) agree to save your card information on file.
You will see the “Save card information on file” option upon processing the initial setup fee invoice. You agree that Bipper Media has permission to charge the initial setup fee plus the first month fee, and each monthly retainer fee there after via the credit card you submit for Bipper Media to keep on file. The monthly retainer amount will be charged on a monthly (every 30 days) cycle and the amount charged each month will be based upon the applicable products or services purchased / selected by you (the Client).
Refund Policy / Cancellation Policy
There are no refunds on any of the annual agreements. A client may cancel any of their services with Bipper Media but must provide at least a 30 day notice of cancellation.
You (the Client) agree that there are no refunds on any money paid up to the point of cancellation.
The no refund policy is applicable on all products, services, consulting engagements, and all services provided by Bipper Media. By engaging with Bipper Media for business, you are agreeing to this no refund policy.
You (the Client) agree that there are no refund policies. This ‘no refund’ policy applies to any and all fees paid by you (the Client) to include setup fee and any and all monthly retainers paid by you (the Client) and any and all annual fees paid by you (the Client).
You agree to not hold Bipper Media legally liable for any specific ranking position in any search engine, drop in ranking position in any search engine, or any negative action taken against any of your (the Client)’s web properties by any search engine or other entity such as competitors, 3rd party vendors, etc… these web properties include your Google My Business listing, business website, social media profiles, and any other web properties owned by you and your business (the Client).
You agree and recognize that Bipper Media does not have direct access or inside information to any search engine algorithm, trade secrets that can influence your rankings in any specific search engine, nor does Bipper Media have any trade secrets or inside information at any social media platform. You agree and recognize that Bipper Media is acting as a “service” and “consultant” for the purposes of search engine optimization (SEO).
You agree and recognize that Bipper Media is acting as a consultant for search engine optimization services and you (the Client) are hiring Bipper Media for the purposes to help your business increase its ranking positions in search engines and increase the overall presence of your business on the web. Bipper Media Credits – Terms & Conditions
These Terms & Conditions (“Terms”) govern the purchase and use of Bipper Media Credits (“Credits”) through our website, bippermedia.com (“Site”). By purchasing or using Credits, you agree to these Terms in addition to our General Terms of Service and Privacy Policy.
1. What Are Credits?
Bipper Media Credits are a digital form of prepaid value that can be applied toward certain services, tools, or subscriptions offered by Bipper Media. Credits function as account balance currency within our platform and have no cash value outside of Bipper Media.
2. Purchasing Credits
- Credits can be purchased directly through your Bipper Media account using approved payment methods.
- Once payment is successfully processed, the corresponding Credits will be added to your account balance.
- Bipper Media may, from time to time, offer promotional bonuses or discounts on Credit purchases. Such promotions will be governed by their own additional terms.
3. Use of Credits
- Credits may be redeemed for eligible one-time services or tools available within your Bipper Media account.
- Credits cannot be transferred, sold, exchanged, or assigned to another user or account without prior written consent from Bipper Media.
- The specific value and usage of Credits may vary depending on the service or plan selected.
3.1. Restrictions on Use
- Credits cannot be used toward any recurring or subscription-based products or services. This includes, but is not limited to, monthly or annual plans, ongoing SEO services, or automated billing cycles.
- Credits are intended for one-time purchases only and cannot replace or offset recurring charges.
4. Non-Refundable Policy
All Credit purchases are final and non-refundable. Once Credits are purchased, they cannot be refunded, reversed, or exchanged for cash or other forms of credit, even if they remain unused.
5. No Expiration
Your Credits do not expire. You may use them at any time for eligible Bipper Media services, provided your account remains active and in good standing.
6. Account Closure or Termination
- If your account is terminated by Bipper Media for violation of our Terms of Service or misuse of our platform, any remaining Credits may be forfeited.
- If you choose to close your account voluntarily, please use your remaining Credits before closure. Credits cannot be transferred or refunded after the account is closed.
7. Changes to the Credit System
Bipper Media reserves the right to modify the structure, pricing, or eligible uses of Credits at any time. Any such changes will be communicated via the Site or email before taking effect. Continued use of Credits after notification constitutes acceptance of the new terms.
8. Limitation of Liability
To the fullest extent permitted by law, Bipper Media shall not be liable for any indirect, incidental, or consequential damages arising from your purchase or use of Credits, including but not limited to loss of data, loss of business, or financial loss.
